This End User License Agreement ("Agreement") is a legal agreement between you ("User") and ITBS Corp ("we," "our," or "us") governing your access to and use of our websites (www.inttbs.com, www.itbssolutions.com) and associated management applications ("Kronos," "Ka," and "K5") (collectively, the "Services").

By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the Services.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services strictly in accordance with this Agreement. The license is granted solely for your personal or internal business use and for the intended functionality of the Services.

2. User Obligations

By using the Services, you agree to:

• Use the Services only for lawful purposes and in compliance with all applicable laws and regulations;
• Provide accurate and up-to-date information as required;
• Keep your account credentials confidential and not share them with unauthorized parties;
• Refrain from copying, modifying, distributing, or reverse engineering any part of the Services.

3. Restrictions

You may not:

• Sell, rent, lease, sublicense, or distribute the Services or any part of them;
• Attempt to disrupt or interfere with the security or functionality of the Services;
• Use the Services to collect unauthorized data or engage in activities that violate the privacy of others;
• Decompile, disassemble, or reverse engineer the Services or any underlying technology.

4. Ownership and Intellectual Property

All intellectual property rights in the Services, including but not limited to software, logos, designs, text, and graphics, are owned by ITBS Corp. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved.

5. Data Collection and Privacy

We collect minimal information strictly necessary to operate the Services. Your information is not sold, shared, or used outside the functionality of the Services. Please refer to our Privacy Policy for detailed information about our data practices.

6. Disclaimer of Warranties

The Services are provided "as is" and "as available," without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

To the fullest extent permitted by law, ITBS Corp shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use or inability to use the Services, even if we have been advised of the possibility of such damages.

8. Termination

We reserve the right to suspend or terminate your access to the Services at any time and for any reason, including but not limited to a breach of this Agreement. Upon termination, all rights granted to you under this Agreement will cease immediately.

9. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

10. Amendments

We may update this Agreement from time to time. Any changes will be posted on this page with an updated "Effective Date." Continued use of the Services after changes are made constitutes your acceptance of the revised Agreement.
